These terms (“Terms”) govern your access to and use of the DocCypher website and product (the “Service”). By creating an account, signing in, or otherwise using the Service, you agree to these Terms. If you are accepting on behalf of an organisation, you confirm you have the authority to do so.
1. The Service
DocCypher is a hosted document intelligence platform. Features available to you depend on the plan your workspace is on (see our pricing page). We may update, add, or remove features over time; we will not materially reduce a paid feature mid-term.
2. Your account
- You are responsible for keeping your credentials confidential and for the activity that happens under your account.
- You must be at least 16 years old to create an account.
- Workspace administrators are responsible for the users they invite and the permissions they grant.
- Tell us promptly at sales@doccypher.com if you suspect unauthorised access.
3. Your content
You retain ownership of everything you upload to DocCypher (“Customer Content”). You grant us a limited licence to host, process, and display Customer Content solely to provide and improve the Service for you. We do not use Customer Content to train shared AI models.
4. Acceptable use
You agree not to:
- Use the Service in violation of applicable law or third-party rights.
- Upload content that is illegal, infringing, malicious, or designed to harm others.
- Attempt to reverse-engineer, probe, or interfere with the Service or its security.
- Resell or sublicense the Service without our written consent.
- Use the Service to build a competing product.
5. Fees and billing
Paid plans are billed in advance on a monthly or annual cycle, in the currency shown at checkout. Fees are non-refundable except where required by law. You authorise us to charge your chosen payment method on the agreed cycle. We may change pricing with at least 30 days’ notice, effective at the start of your next billing term.
6. Trials and beta features
Free trials and features marked “beta” or “preview” are provided as-is and may change or be withdrawn at any time. They do not carry the service-level commitments that apply to generally available features.
7. Suspension and termination
You can cancel your subscription at any time from your workspace settings; the cancellation takes effect at the end of the current billing term. We may suspend or terminate access without notice if you materially breach these Terms, fail to pay, or use the Service in a way that puts our infrastructure, customers, or compliance at risk. On termination, you may export your data for 30 days; after that we may delete it.
8. Confidentiality
Each party will protect the other’s confidential information with the same care it uses for its own, and will use it only to perform under these Terms. Customer Content is treated as your confidential information.
9. Warranties and disclaimers
We will perform the Service with reasonable skill and care. Otherwise the Service is provided “as is” and we disclaim all other warranties to the maximum extent permitted by law, including warranties of merchantability, fitness for a particular purpose, and non-infringement.
10. Limitation of liability
To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits or revenue. Each party’s total liability arising out of or related to these Terms will not exceed the amount paid by you to DocCypher for the Service in the 12 months preceding the claim. Nothing in these Terms limits liability that cannot be limited under applicable law.
11. Indemnity
You will defend and indemnify DocCypher against third-party claims arising from Customer Content or your use of the Service in breach of these Terms. We will defend and indemnify you against third-party claims that the Service, used as permitted, infringes that party’s intellectual property rights.
12. Governing law
These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws principles. Mandatory consumer rights in your country of residence are not affected.
13. Changes to these Terms
We may update these Terms from time to time. If a change is material, we will notify you in-product or by email at least 14 days before it takes effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.
